Terms and Conditions for Commissioned ArtworkThese terms and conditions ("Agreement") constitute a legal agreement between the freelance artist ("Artist") and the client ("Client") for the creation of commissioned artwork. By commissioning artwork from the Artist, the Client agrees to be bound by the terms and conditions set forth below:Commissioned Artwork:
a. Description: The Client agrees to provide a detailed description of the desired artwork, including specifications, subject matter, medium, size, style, and any other relevant details.
b. Intellectual Property: The commissioned artwork will be an original creation by the Artist, and the Artist retains all intellectual property rights unless otherwise agreed upon in writing.
Pricing and Payment:
a. Fees: The Client agrees to pay the Artist the agreed-upon fee for the commissioned artwork. The fee will be based on the complexity of the artwork, materials used, and the Artist's standard pricing.
b. Deposit: The Artist may require a non-refundable deposit before commencing work on the commissioned artwork. The deposit amount will be determined by the Artist and communicated to the Client in advance.
c. Payment Schedule: The Client agrees to pay the remaining balance upon completion and delivery of the commissioned artwork, unless otherwise agreed upon in writing.Revisions and Modifications:
a. Minor Revisions: The Client may request minor revisions to the artwork within a reasonable scope. Minor revisions include small adjustments, color changes, or minor details.
b. Major Modifications: If the Client requests significant modifications beyond the initial scope agreed upon, additional fees may be charged at the Artist's discretion.
c. Approval: The Client is responsible for promptly reviewing and approving the artwork upon delivery. If no response is received within a specified timeframe, the artwork will be considered approved.Cancellation and Refunds:
a. Cancellation by Client: If the Client cancels the commission before completion, any deposit paid will not be refunded. If the cancellation occurs after completion, the Artist retains the right to retain the full fee paid.
b. Cancellation by Artist: In the event that the Artist cannot complete the commissioned artwork, the Artist will promptly refund any deposit or fee paid by the Client.Rights and Reproductions:
a. Non-Commercial Use: The Client is granted a non-exclusive, non-transferable license to use the commissioned artwork for personal, non-commercial purposes, unless otherwise agreed upon in writing.
b. Artist's Rights: The Artist retains the right to use images or reproductions of the commissioned artwork for promotional purposes, portfolio display, social media, or other marketing channels.Liability and Indemnification:
a. Limitation of Liability: The Artist shall not be held liable for any indirect, incidental, or consequential damages arising from the commissioned artwork or its use.
b. Indemnification: The Client agrees to indemnify and hold the Artist harmless from any claims, damages, losses, or liabilities arising out of the Client's use of the commissioned artwork.Confidentiality:
a. The Artist agrees to keep any confidential information shared by the Client regarding the commissioned artwork confidential and not disclose it to any third party without the Client's prior written consent.
b. The Client agrees that the commissioned artwork itself may be displayed publicly by the Artist, but any confidential information shared during the creation process will remain confidential.Governing Law and Jurisdiction:
a. This Agreement shall be governed by and interpreted in accordance with the laws of [Jurisdiction]. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in [Jurisdiction].Entire Agreement:
This Agreement constitutes the entire understanding between the Artist and the Client regarding the commissioned artwork and supersedes any prior agreements, discussions, or representations, whether written or oral.Modifications and Waivers:
Any modifications or waivers of this Agreement must be in writing and signed by both the Artist and the Client. Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.By commissioning artwork from the Artist, the Client acknowledges that they have read, understood, and agreed to the terms and conditions outlined in this Agreement.
